VIVERSE SPARK

Official Rules (“Official Rules”)

NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED.

1. ELIGIBILITY:

The VIVERSE SPARK CONTEST (the “Contest”) is only open to those who, as of the start date, are legal residents of the United States, China, Taiwan, United Kingdom, Germany, France and Republic of Ireland, and who have reached the age of majority in their state/country/location of residence and are from a University that is participating in the Contest. Employees of HTC Corporation and affiliate companies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. Non-natural persons (including corporations and other business entities) are not eligible to participate in the Contest. The Contest is subject to all applicable federal, state, municipal, territorial and local laws and regulations and is void where prohibited. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the Contest. Winning a prize is contingent upon fulfilling all requirements set forth herein.

3. Contest Period:

The Contest begins on October 1, 2025, at 7:00 a.m. Pacific Time ("PT") and ends on October 15th, 2025, at 11:59 p.m. PT for all Universities and Entrants located in the USA and China. The Contest will begin on October 15, 2025, at 7:00am UK local time (“UKT”) and ends on October 29, 2025, at 11:50p.m. UKT for all Universities and Entrants located in United Kingdom, Germany, France, and the Republic of Ireland (the "Contest Period”).

Sponsor’s servers are the official time-keeping device for the Contest.

4. Entries:

Please visit the Contest webpage located at https://www.viverse.com/events/hackathon during the regional Contest Period. Once on the Contest webpage, complete the entry form found there, including selecting the category for which your Team (as defined below) would like to enter your immersive World (“World”). All entries must include the following: (1) Team name; (2) the University you are attending (3) world name; (3) brief description of your World; and (4) Category your plan on submitting your World for. Your Team will also be required to provide, the full legal name of all Team members, and a University email address where Sponsor can reach you. Then click the “Submit” button.

PLEASE NOTE: A World may only be entered for consideration into one category. Please see below for additional entry requirements for each of the category Contests.

5. Entry Criteria.

A. General Entry Requirements- All Categories

A Team must consist of two to five (2-5) entrants (“Entrants”) from a University (“Team”). Entrants of a Team must be from the same University. Multiple Teams from the same university may enter, but Entrants from the Universities cannot be part of more than one team. For the purpose of the contest “University” means an institution of higher education that offers a range of academic and professional programs, typically including undergraduate and postgraduate degrees.

By participating in the Contest, the Entrants represent and warrant that they have read and agree to all of the Contest Rules set forth in this document and have received the prior approval of the University that Entrants are attending to participate in the Contest. For China residents, you represent and warrant that you have read and agree to the Processing and Cross-Border Transmission of Personal Sensitive Information Consent Form.

The World must be the Team’s original creation and may not include unlicensed copyrighted, trademarked, patented, or previously published material. The World must be submitted in the English language. The World may not display any unlicensed trademarked or copyrighted brand names/logos, except those of Sponsor’s brands. The World shall not defame or invade the rights or privacy of any person, living or deceased, or otherwise infringe upon any third party’s personal, proprietary, or intellectual rights. The World cannot contain illegal or unlawful material and must not promote any political agenda or contain any content that is offensive, harmful, objectionable or which is otherwise unsuitable for publication including with respect to race, religion, origin or gender, or which could reflect negatively on the name, reputation or goodwill of the Sponsor. promote bigotry, racism, harm, or discrimination. The World must be suitable for audiences of all ages. Entries which, in Sponsor’s or judges’ sole discretion, breach these conditions in part or in their entirety will be disqualified. Worlds that do not meet these stated criteria, or entries that, in Sponsor’s or judges’ sole discretion, may technically meet the stated criteria but do not reflect the intent and the spirit of the Contest, are not eligible. Sponsor reserves the right, at its sole discretion, to suspend, remove, or disable access to any entry or account if Sponsor believes the entry may infringe intellectual property rights, contain unlawful or inappropriate content, or otherwise pose reputational, legal, or security risks. Such action may be taken within prior notice and may result in disqualification from the Contest.

VIVERSE supports project importing from the following engines: A-Frame, Bablon.js, Godot, Playcanvas, React-Three-Fiber, Three.js, Unity and WebGl. Entrants can find more information on how to build in their immersive World via the VIVERSE Create Hub found at: https://docs.viverse.com. The Sponsor’s VIVERSE Product Team will hold virtual Zoom sessions to introduce the VIVERSE Platform to prospective participants and answer any initial questions throughout September 2025 as necessary.

During the regional Contest Period the Sponsor VIVERSE Product Team will also be providing technical and other support on its official product Discord channel: #hackathon-2025.

Your entry constitutes Entrant’s certification that s/he/they (i) are the owner of the World and (ii) is able and authorized to submit it.

Eligible Teams receive one (1) entry into the Contest. Incomplete or indecipherable entries will be deemed invalid. Multiple entries are not permitted; each entry must be submitted or obtained in accordance with these Contest Official Rules.

By submitting your World, Entrant agrees to indemnify and hold harmless Sponsor and its parent companies, subsidiaries, affiliates, sales representatives, agencies, retailers, wholesalers, distributors, and promotional and other vendor agencies involved in this Contest from any and all claims, damages, expenses, costs (including reasonable attorney fees) and liabilities (including settlements), resulting from or relating to Entrant’s submission, or any information supplied or represented to Sponsor by Entrant.

Except where prohibited, by participating in the Contest and winning any prize, Entrants agree to the use of his/her name, photo and/or likeness, biographical information, entry and statements attributed to Entrant (if true) for advertising and promotional purposes, without additional compensation. See the section on “Personal Information”.

B. Additional Entry Requirements by Category

In addition to the General Requirements set forth above, entries must meet the following requirements for each category (“Category”), respectively:

I. Immersive Story Telling

Worlds submitted for consideration in the Immersive Story Telling category be narrative driven or otherwise tell a story or convey an experience through self-guided exploration and/or through artwork. There must be an interactive element to the experience.

II. Games

Worlds submitted for consideration in the Games category must have an interactive gameplay element for at least one player, with clear objectives and winning/losing criteria.

III. Social Experiences

Worlds submitted for consideration in the Social Experiences category must be built around social interactions, with a clearly defined theme and expectations for how participants engage within the space (i.e. specifically themed Worlds with group activities).

Worlds must adhere to category descriptions, if your Entry does not comply or align with the category descriptions above, for the Entry will be disqualified from the Contest.

5. Judging Criteria/ Selection of Winners:

Entries will be evaluated by a panel of judges selected by Sponsor, which may include Sponsor’s employees and/or influencers. All decisions by the judges are final and binding on all entries.

A. Judging for All Categories

Judging will take place between October 30, 2025, through November 14, 2025. Judging will consist of one round where each entry will be evaluated on a 50-point scale as follows:

  • A maximum of 10 points for scene design. This category will look at the overall aesthetics of World, along with features that include spatial composition and layout, combined with animations and visual/audio effects.
  • A maximum of 10 points for interactivity and technical competency. This category will investigate the effective use of interactive design elements and functions within the World. Including, but not limited to all technical elements that enable interaction such as physics, lighting, audio, etc.
  • A maximum of 10 points for creativity. This category will look at the originality and innovative thinking that is bringing the World’s concept to life. Judges will be looking for a unique concept/atmosphere where there is a clear theme or vision with distinct and memorable experiences.
  • A maximum of 10 points for user experience. This category will be judged based on ease of navigation, intuitive features, and the overall enjoyment of the World. For example, does the experience avoid motion sickness, disorientation or visual clutter and is the environment engaging while remaining comfortable for users.
  • A maximum of 10 points for user engagement. This category will be judged on the World’s ability to captivate and retain user interest. Judges will be looking for the interactivity and emotional impact of the World on users; does the experience evoke curiosity, excitement or emotion, and will users feel motivated to spend time exploring and interacting within the World and want to return and explore again in the future.

The one (1) winning Team selected for each Category above will be the entries with the top three (3) highest point totals in the judging (“Potential Category Winners”). In the event of a tie, the tied entry with the highest score for the engagement scoring competent will be deemed the winner. In the event that the entries are still tied, the tied entry with the highest score for the replay ability will be deemed the winner.

Potential Category Winners will be notified by the Sponsor via the email that was given on the entry form within 2 working days of the completion of the Judging process. Each potential winner will be required to respond to the Sponsor’s notification with the requested information within seven (7) days of the date notice or attempted notice is sent. Reasonable efforts will be made to contact the Potential Category Winners. Once eligibility has been confirmed, the Potential Category Winners will be confirmed as a Category Winner. Category Winners will then be announced on or after November 17th, 2025.

If a Potential Category Winner of any prize cannot be contacted, fails to provide the requested information within the required time period or cannot accept the prize, the Potential Category Winner forfeits his/her/their prize and Sponsor reserve the right to disqualify that Potential Category Winner and award the Prize to a reserve Team selected in the same manner. Receiving a prize is contingent upon compliance with these Official Rules. In the event a potential winner is disqualified for any reason, Sponsor will award the applicable prize to next Entrants with the highest score in that particular category.

Prizes will be fulfilled within thirty (30) working days after a Category Winner has been confirmed by emailing the winner to redeem the prize by following the included instructions, which shall include but are not limited to requiring the winner to return a signed Affidavit of Eligibility and Liability, and any regional required tax forms to Sponsor. In the unlikely event that a Prize does not arrive within 28 days, the Category Winner must inform the Sponsor by emailing vivepr@htc.com. If a winner does not do so, Sponsor reserves the right to not reissue the Prize at its sole discretion.

6. Prizes:

Prizes will be in the form of cash (“Prizes”). No other substitution shall be permitted. Sponsor will not replace any lost or stolen prizes. Winners are solely responsible for any and all federal, state, provincial and local taxes, if any, that apply to Prizes. Prizes will be fulfilled via a BACS transfer to bank accounts which must be valid and active in the country in which the Team has entered from.

The Prize(s) shall consist of the following:

Prizes for winning Teams in each category:

  • 1st Place: (Team with the highest score out of 50)
    • $5,000.00 USD per winning team
  • 2nd Place: (Team with second highest score out of 50)
    • $2,500.00 USD per winning team
  • 3rd Place: (Team with third highest score out of 50)
    • $1,500.00 USD per winning team

The value of the first-place Prize package is five thousand US dollars ($5,000.00). The value of the second-place Prize is two thousand five hundred US dollars ($2,500.00). The value of the third-place Prize is one thousand five hundred US dollars ($1,500.00). The Prizes are non-transferable, and no substitution will be made except as provided at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a Prize for one of equal or greater value if the designated Prize should become unavailable for any reason.

Category Winners are responsible for providing correct bank account details and the Sponsor will not be liable for any Prize payments made into the wrong bank account. Prize money will be split evenly between Team members.

The Sponsor seeks to run a fair and secure promotion and prevent abuse and cheating. If you enter in a way that is not consistent with these Terms & Conditions, your entry (and any of your associated aliases) will be disqualified. Any Prize awarded may be void and recoverable, and the Promoter reserves the right to bar you from entering future promotions for a period of at least six months. For this reason, the Sponsor reserves the right at any point to:

A. Verify the eligibility of entrants and/or provisional winners through multiple means by requesting such information it consider reasonably necessary for this purpose. Entry or a Prize may be withheld until verification is completed.

B. Disqualify entries that are not made directly by the individual entering the Promotion.

C. Disqualify entries made using anonymous email services such as, but not limited to, GuerillaMail, Dispostable or Mailinator.

D. Disqualify bulk entries from individuals, trade, consumer groups or third parties, incomplete entries and entries submitted by macros or other automated means.

E. Disqualify entries beyond the maximum allowed, or those using techniques such as ‘script’, ‘brute force’, masking identity by manipulating IP addresses, using aliases or identities other than their own or any other means.

F. Disqualify entrants who tamper with the entry process.

G. Disqualify entries which, in some other way, do not meet the requirements of these Terms & Conditions.

H. Cancel, modify or suspend the Promotion should it not be capable of running as planned for reasons including but not limited to tampering, unauthorized intervention, fraud, dishonesty, technical failures, or any other causes beyond the control of the Promoter which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion. In such an event, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the Prizes offered herein.

Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

7. Intellectual Property

A. Intellectual Property Rights Except for the rights, title, and interest granted to HTC under these Rules or the VIVERSE World Terms of Use and VIVERSE Avatar Terms of Use (i) Entrants and/or University (depending on University Intellectual Property Agreements with their students) shall retain all right, title and interest in the World developed by Entrant hereunder and (ii) nothing in these Contest Rules shall create any right of ownership or license in and to the other Party's Intellectual Property Rights, and each Party shall continue to independently own and maintain its Intellectual Property Rights.

B. World License. Entrants hereby grant to Sponsor and its Affiliates a non-exclusive, irrevocable, worldwide, perpetual, transferable, sub-licensable, and royalty-free license under all its Intellectual Property Rights to copy, transmit, perform, display, modify, adapt, translate, and use the World (including all Intellectual Property Rights embodied therein) (i) in connection with trials and demonstrations of the World, and (ii) in connection with the marketing and promotion of the World along with the VIVERSE Platforms, and other VIVERSE products and services and (iii) for any use of derivative works, Sponsor does not need approval from Entrants for that use, nor will Sponsor be responsible for any additional fees.

8. Indemnification:

Entrants agree to defend, indemnify and hold Sponsor harmless against any and all losses, liability, damages and expenses (including reasonable attorneys’ fees) arising out of or related to any third-party claims (“Claim”) that is related to an allegation of intellectual property infringement, offensive content or malware attacks from the use of Entrant submission.

The Sponsor and its associated agencies and companies are not liable for any loss (including, without limitation, indirect, special or consequential loss or loss of profits), expense or damage which is suffered or sustained (whether or not arising from any person’s negligence) in connection with this Contest or accepting or using the/a Prize(s), except for any liability which cannot be excluded by law.

9. General Conditions: Where applicable, Sponsor will not be liable for any delay or failure to comply with its obligations for reasons beyond its reasonable control arising from but not limited to Acts of God, global or regional epidemic or pandemic, adverse weather conditions, fire, industrial dispute, war, terrorist activity, hostilities, political unrest, riots, civil commotion, plague or other natural calamities, or any other circumstances outside the control of the Sponsor.

10. Limitations of Liability: The Released Parties (“Released Parties”) are not responsible for: (1) any incorrect or inaccurate information, whether caused by Entrants, typographical errors, printing errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Contest; (4) technical or human error which may occur in the administration of the Contest or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Contest or receipt or use or misuse of any Prize. If for any reason an Entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, Entrant’s sole remedy is another entry in the Contest, if it is possible. No more than the stated number of Prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of Prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of Prizes by a random drawing among all legitimate, un-awarded, eligible Prize claims.

11. Disputes: Except where prohibited, Entrant agrees that: Regardless of conflict of laws principles of the applicable jurisdiction, the governing laws and the dispute resolution of these Content Rules shall be set in accordance with the place of Entrant’s residence as follows: (a) North America, the laws of California in the United States govern the Contest Rules and the interpretation thereof, and venue and jurisdiction for any dispute arising under the Contest Rules shall lie in the state and/or federal courts located in Alameda County, California, USA; (b) Europe, these Official Rules shall be governed by the laws of the relevant country for each entrant and their interpretation and application will be subject to the exclusive jurisdiction of the courts of the relevant country they reside in,(c) China, any dispute arising from or in connection with the Contest Rules shall be submitted to Shanghai International Arbitration Center for arbitration and (d) Taiwan, any dispute arising from or in connection with Contest Rules shall be settled by arbitration in Taipei in the Mandarin Chinese language in accordance with the Taiwan Arbitration Act and the then-governing Arbitration Rules of the Chinese Arbitration Association, Taipei.

12. Entrant’s Personal Information: Information collected from Entrants is subject to Sponsor’s Privacy Policy:

By entering this Contest, the Entrants understand that they consent to providing their personal information to Sponsor to allow for the performance of the Contest by Sponsor.

13. Winner List: Provided no objection is received from the Category Winners, a winners list containing the surname, county and country of residence of the Category Winners will be made available by the Promoter 4 weeks after the close of the Promotion Period, for a period of 3 months. It will be available by sending a request via email to vivepr@htc.com with the subject line VIVERSE SPARK WINNER LIST. Winners can object to their details being published during the Winner Notification process. Without prejudice, the Promoter will provide Winner information to any relevant Authority when requested by them.

14. If any part of these Official Rules is legally ruled to be invalid, illegal or unenforceable, the remainder will not be affected and will continue in full force and effect.

15. If there is a discrepancy between these Official Rules and those in any promotional material, these Official Rules will prevail.

16. Incentive Program Participation: Universities may participate in the Incentive Program offered by Sponsor. Such participation shall be governed by the Incentive Program Participation Agreement set forth in the Incentive Program Addendum herein.

I am willing to enter on my own initiative, the VIVERSE Spark Contest("Contest") sponsored by HTC America, Inc.

I am fully aware of the Term of Use of the Contest. I need to provide my original works to the Contest website at https://www.viverse.com/events/hackathonto participate in the Contest. The Contest is sponsored by HTC America, Inc. 1625 Shattuck Ave, Suite 300 Berkeley, CA 94709.

By participating in the Contest, each entrant is granting authorization to his/her works for use on the VIVERSE global website.

Scenario and Purpose of Use Personal Information and Personal Sensitive Information

I acknowledge and consent that, in the scenarios of contest registration, works (Worlds defined in the T&C) display and exhibition, award granting, and VIVERSE promotional and marketing activities, the Sponsor and VIVERSE website operators will collect, store, use, make available, publish (collectively "Process") my personal information and/or personal sensitive information:

1. When registering as a participant, I shall submit my real name and email address to the Sponsor; The Sponsor will organize technical training sessions on the use of the VIVERSE Platform as needed. The email address I submit to the contest webpage will be used to receive meeting notice.

2. I have the right to choose, at my sole discretion, to publicly display my personal information and personal sensitive information (e.g., name, contact email, photograph and/or likeness, curriculum vitae, entrant declaration) alongside with my works. I recognize that the VIVERSE global website is a commercialized and publicly accessible website targeted at a global audience. Works and author description on the global website is public information. I consent to the VIVERSE global website making my personal information public that I choose to make available with my works on the VIVERSE global website. I acknowledge: By submitting my works, I agree that my name, photograph and/or likeness, curriculum vitae, entrant's declarations (if true) attached to my works will be used on the VIVERSE global website for purposes of promoting the works and for advertising and promotional purposes of VIVERSE. On my behalf, I consent to the VIVERSE global website processing my personal information when conducting publicity and promotion of my works.

3. For the purpose of the activities of the Contest, HTC America, Inc. and its affiliates (including VIVERSE operators of the VIVERSE Website in the Participant's home country) may use my personal information to contact me (including but not limited to explanation of the contest rules, reply to competition results, communication about the receipt of prizes, etc.);

4. If my works is awarded prizes, I shall provide the Sponsor: HTC America, Inc. with my valid contact phone number, ID card number, bank account and address information to be used for the purpose of receiving prizes. HTC America, Inc. and its global affiliates may use my personal information in the global promotion scenarios (including its official website, and public media) and activities in the announcement of the list of the awarded works and the relevant promotion activities of VIVERSE.

5. The VIVERSE Website may promote other VIVERSE products and competition activities to my E-mail box.

Duration of Use: From my registration day of the Contest until my works is removed from the Vi VIVERSE verse global website.

Entities authorized to use: HTC America, Inc., the host of the Contest and the entities which actually operates the VIVERSE website in participant's country. For example, if participant is a resident in China, the authorized entities are HTC Communication Co., Ltd and Fanshare Co., Ltd.

INCENTIVE PROGRAM ADDENDUM

Incentive Program Participation Agreement

By and Between

HTC AMERICA, INC.,

AND

University

Collectively referred to as the “Parties.”

1. Purpose

The purpose of this Agreement is to set forth the terms and conditions under which the University will participate in the VIVERSE SPARK CONTEST (hereinafter the “Contest”), a skills-based competition organized and managed by the Sponsor. The Sponsor agrees to provide certain incentives to promote university engagement and participation.

2. Contest Description

The Contest is an international skills-based immersive digital world competition designed to identify, support and recognize outstanding student talent from universities across the globe. Participants will compete in teams following the Official Rules, as defined by the Sponsor.

3. Eligibility and Participation

  • The University agrees that Sponsor may promote the University’s participation in the Contest on Sponsor’s owned and earned channels (e.g., social media, blogs, newsrooms, etc.).
  • The University will appoint a faculty liaison or point of contact to coordinate with the Sponsor. Alternatively, faculty members may self-appoint as a liaison.
  • The University will facilitate student registration and participation. Students must comply with the registration procedures and adhere to the Contest timeline to remain eligible.
  • Student participants must be currently enrolled at the University and meet all eligibility requirements defined in the Contest Rules, which are incorporated herein by reference.

4. Incentives

In consideration of participation, the Sponsor agrees to offer the following incentives to the University:

4.1 Promotional Recognition: Sponsor reserves the right to recognize the University’s participation in the Contest across Sponsor’s earned and owned channels (e.g., social media, blogs, newsrooms, etc.).

4.2 Performance-Based Grants: Monetary grants and/or equipment donations may be awarded based on the performance of student teams from the University.

4.2.1. Sponsor will name one (1) winning university globally in each of the three (3) Contest Categories, to receive twenty thousand United States Dollars ($20,000 USD). This will correspond with the winning Teams as laid out in the Official Rules for the Contest. Once Contest winners have been announced, a VIVERSE representative will reach out to the representative of the winning universities and secure banking details. Payment will be affected within thirty (30) days of the announcement of the Contest winners.

4.2.2. The University with the most qualified/eligible Teams and Worlds will receive one (1) VIVE Focus Vision for every ten (10) completed and published Worlds in the Contest. This award does not require the university to have a prize-winning Team, as it is based solely on the number of eligible Worlds created. After the Contest is complete, a representative from VIVERSE will reach out to the University representative to gain details of where to send the devices and provide shipping details.

4.2.3. Universities that win the cash award are not precluded from the VIVE Focus Vision award, and vice versa.

4.3 Access to Resources: Access to training materials, mentoring sessions, and workshops for participating students and faculty.

5. Responsibilities of the University

The University agrees to:

5.1 Support Participants: Provide guidance, mentorship, and relevant academic resources to participating students.

5.2 Coordinate with Sponsor: Appoint a faculty liaison to communicate regularly with the Sponsor and assist with registration, submission, and Contest-related inquires including assisting in verification of student eligibility if requested by the Sponsor.

5.3 Compliance with Local Laws: Ensure that all activities related to the Contest comply with local laws, including those related to data privacy, intellectual property, and educational standards.

5.4 Encourage Team Participation: Encourage students to work collaboratively and in compliance with the official Contest Rules and deadlines.

6. Responsibilities of the Sponsor

The Sponsor agrees to:

6.1 Provide Contest Rules and Guidelines: Furnish the University and its participants with detailed Contest Rules, judging criteria, and other relevant materials.

6.2 Ensure Fairness and Transparency: Ensure that the Contest is conducted in a fair and transparent manner, adhering to the Contest Rules, and provide impartial judging.

6.3 Distribute Incentives and Rewards: Timely deliver all promised incentives, awards, and resources as specific in this Agreement and the Contest Rules.

6.4 Regular Communication: Maintain consistent and effective communication with the University, ensuring clear instructions and support for participants.

6.5 Compliance with International Laws: Ensure that the Contest and all associated activities comply with applicable international laws, including but not limited to data protection regulations such as the EU General Data Protection Regulation (GDPR), and any other applicational national laws.

7. Term and Termination

This Agreement shall be effective as of the date of signing and shall remain in effect until the announcement of the winners (November 17, 2025), unless terminated earlier by either Party upon thirty (30) days’ written notice.

8. Intellectual Property

8.1 Student Ownership: All intellectual property created by student participants during the Contest will remain the property of the individual participants or the university, unless otherwise agreed upon in writing between the student and the Sponsor.

8.2. Sponsor Rights: The Sponsor has a non-exclusive, worldwide license to use, display, and promote winning Worlds for educational or promotional purposes.

8.3. University Name Usage by Sponsor: University hereby grants Sponsor permission to use the University’s name for the purpose of promoting the University’s participation in the VIVERSE SPARK CONTEST and related promotional or educational activities, such as announcing winner’s affiliated University.

8.4. No Conflict. The University represents and warrants that participation in the Contest does not infringe upon any third-party intellectual property rights, and it shall indemnify the Sponsor against any claims in this regard.

9. Confidentiality

Both Parties agree to maintain the confidentiality of proprietary and sensitive information exchanged in connection with the Contest, except as required by law or with the prior consent of the other Party.

10. Data Protection and Privacy.

10.1 Personal Data: The Parties acknowledge that, for the purposes of the Contest, certain personal data may be collected from students and participants. The Parties agree to comply with all applicable data protection laws, including but not limited to the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and other local data protection laws where applicable.

10.2. Data Usage: The Organizer may collect, process, and store personal data provided by the University and its participants solely for the purposes of conducting and administering the Contest, in accordance with the privacy policy shared with the University and participants.

11. General Provisions

11.1. Force Majeure: Neither Party will be liable for any failure or delay in performance due to events beyond their reasonable control (e.g., natural disasters, pandemics, or government actions).

11.2. Governing Law: Except where prohibited, University agrees that: Regardless of conflict of laws principles of the applicable jurisdiction, the governing laws and the dispute resolution of this Agreement shall be set in accordance with the Universities place of business as follows: (a) North America, the laws of California in the United States govern the Agreement and the interpretation thereof, and venue and jurisdiction for any dispute arising under the Contest Rules shall lie in the state and/or federal courts located in Alameda County, California, USA; and (b) Europe, the laws of England and Wales govern the Agreement and the interpretation thereof, and any dispute arising from or in connection with the Agreement shall be settled by arbitration in London, England in the English language in accordance with the then-governing Rules of Arbitration of the International Chamber of Commerce.

11.3. Severability: If any provision of this Agreement is deemed invalid or unenforceable, the remainder of the Agreement shall continue in full force and effect.

11.4. Survival. Sections 8, 9 and 10 shall survive termination of this Agreement.
